Would there be a problem seeing how the motor has 40,000 miles on it.or do i just do the motor again??

what heads you use is independent of the mileage on the engine. if you were satified with the way the engine ran/runs (compression/oil consumption/oil pressure/etc), just swap heads.

BB heads come in open and closed chamber and even the open chamber have several different volumes. What do you have on it now - original closed chamber iron heads? You will need to match them reasonably closely to avoid a significant compression ratio change. Going to aluminum makes higher compression engines more forgiving of today's gasoline so you don't really want to give up much if any compression.
