Ok, maybe because i tackled the whole thing in one night it was imparing my judgment... but how in the WORLD do you compress the lockeplate spring enough to re-insert the retaining clip~!!!
Oh yeah... and big thanks to Jim Shea for his steering papers... helped me through a few of the parts i would have been stumped at~!!!! Also diagnosed the problem correctly~!!!!!

and i looked through Jim's Papers again and found the lockplate tool... It was definately late and i guess i had one more beer than i should have...

Get two paint can openers that look like screwdrivers with a 90 degree bend at the end. Push the plate down until you can get one opener into the slot at about 9 o'clock. Twist it a bit to push the plate further down and put the other one into the slot at 3 o'clock. This will hold the plate while you get the C-clip ready. Twist the openers a bit to squeeze the plate in a bit further and drop in the C-clip. Push it down and pull out the openers.
I have been using the steering wheel puller. I place two bolts with the head of the bolt against the plate and the threaded end throuhg the puller bar slots with a nut and washer. Once the center bolt is locked down to lock the telescoping, you start to loosen the nut on each bolt making the bolts longer. This will push on the plate and compress the spring since the center bolt will not move since it is locking the telescoping mechanism. Hard to describe but works like a charm.
