David, if you have 2.73 gears now, your "pumpkin" (the gear casing) is too small to accommodate the 3.42's. Guy's who have the 3.15 gears from the factory have the larger casing and in that case, all you have to do is swap the gears inside. But 2.73 guys have to get a whole new pumpkin assembly.
PS: I had a shop install mine and all I remember is my whole rear end assembly lying on the floor (you basically have to drop the entire rear assembly) While you're there, you might want to give some consideration to a higher stall converter
as stated you will need a new carrier. You can order a Z06 carrier with 3.42 gears in it from GM. Installation on the floor is a PITA, but can be done.
You will also need to change your shift points.
As a reference we charge $1695 for the parts, install and the shift point correction.

As I understand it, only a FEW shops in the US are able to successfully swap the gears only and NOT create a whining rear end - swapping gears in the C5 pumpkin is NOT at all like swapping gears in the older rearends.
ok thanks for all the replies! Can someone expand more on a TC? Is it just used for the track? I never go to the track, so will I need one?
you don't need a different TC; it is optional.
Most do it though because the gear swap has the transaxle torn apart to the point where swapping to a higher stall TC adds just a few minutes of work to the carrier swap project.
my advice - do 'em both! mine's a daily driver and I put in 3.73's and a SS3200 stall - wouldn't have it any other way, except maybe I should have gone w/ a SS3600 stall -
