manual trans
have 2003 6 speed just recently notice sometimes when shifting to 5th gear it seems like it is just floating and will have to down shift back to 4th or go to 6th, does not happen very often any ideas,

Doesn't sound like the shifter is positively engaging 5th gear. Are you running the stock OEM shifter? How many miles are on the car? When was the last time the oil in the transaxle was changed - if ever? If so - what kind of oil was used? Does this situation occur only when the driveline is cold or does it happen all the time? Does it occur when the ambient temps are cold/hot/etc.?
