The car starts perfect and runs perfect. There are no codes.
When I shut the engine off, it makes a brief noise that sounds like an old car "dieseling" due to incorrect timing. The noise lasts about 1.5 seconds, then the engine stops completely.
What kind of tranny? if manual, try pushing in the clutch or letting it out when turning off the car (in neutral of course)...don't know why, but it does it on my 97 6 speed- but if I press in the clutch it makes no sound...

its normal, push the clutch in so the driveline can stop spinning before you shut it down.
if i recall correctly...the noise comes from the engine coming to a dead stop and the driveline is quickly forced to stop as well, joints inside the torque tube banging back and forth when it comes to a halt.
i press my clutch in for 2-3 seconds before i shut it off and its good to go.

With a manual - if you put the transmission in neutral, let out the clutch and then shut off the car - the "marbles in a can" sound is perfectly normal.
As the others have suggested, try shutting the car off in gear with the clutch depressed, and your noise will disappear.
Ok mine does the same thing and I figured it was the throwout bearing. The car also makes a noise when I put the clutch in to change gears it makes a squeeking noise, or like a high pitch chirping noise that you can hear when the windows are down or when I'm going under a bridge. Is this the throwout bearing too?
This sound (upon turning off car) is due to the tolorance of the splines in the drive train. Not all manuals make the noise, my 1998 with 110,000 miles does NOT make this noise.
