I was looking at a 2004 coupe yellow (msrp 49,000) and a 2004 coupe lemans blue 52,000 (msrp).
I offered 40,000 for the 2004 lemans blue and 38,000 for 2004 yellow.
So far no deal, I tought the offers were good.
I live in connecticut and the dealers are 30-40 miles away from my house,
Also, will I have any problems if I buy from these dealers and then bring the car in for service (warranty) to another dealer that's 5 minutes away from my house.
Also which color to buy - I do like yellow a lot , but blue is elegant

Your offers are right where they should be. Use a forum dealership if you are going to use a different dealer for service anyway.I drove to Les Stanford (2 states away) when I bought mine. Go look at the C5s for sale section to find them.
I actually think your offers were pretty high. I live in MD (grew up in Bloomfield though...) and got a $8K off sticker when I bought my 2004 coupe in January of this year.
Before you think about having your car serviced at the local dealer, be sure that they have corvette-trained technicians. Any reputable Chevy service department will tell you that they either do or do not have corvette specialists. Don't let a non-specialist work on your car. I had a problem with just a simple oil change (the 30-minute, $19.95 quick lubes don't apply to vettes by the way) and it's because they didn't have any specialists.
Otherwise, you shouldn't have any problems with buying from one and servicing at another. That's what I do.
Good luck on the purchase. Don't settle for less than what you really want.

The offers sound fair. I live in the area, and bought my '04 in February. The closest dealer price was almost $5,000 above a Chevy Dealer in the north-Bronx. I'd always support the local businesses, but a $5K premium was out of the question. When I had a warranty issue with the gas gauge (still not working well), the local delaer refused to work on the car. I gave him a window of one-month to pick the most convenient service date in order not to displace customers to whom he sold cars. And I didn't need a loaner. He still refused. I went to GM. They interceded, and he still refused. So, yes...in Fairfield Copunty at least, you will have problems getting warranty (and maybe other) work done by a dealer who did not sell you the car. The Karl Chevrolet owner told me they "didn't want the liability of working on a Corvette that they didn't sell."
MSRP: $49,000
Invoice: $43,00
MINUS REBATE - $3,000
= $40,000
unless you can take advantage of other incentives, $40K is about where the dealer will let it go (maybe you can convince them to give up some of the hold-back, but I would be surprised if they went $1K below invoice...your offer of $2K below invoice was already refused, try again).
good luck
as an aside, depending upon your down payment, the 0% interest may be the way to go. That, of course, requires you to forego the $3K rebate.
I bought a loaded '04 vert in April in Dallas for $11K off (rebates included). I'd probably take the rebate in lieu of the 0% if you only plan on owning your car less than 4 years or so. I got 4.9% on a 72 month note through Compass Bank.
