I'll assume someone else activated the Theft Loc prior to you getting the car. If they didn't write down the code they used (that you need to enter to unlock it), a trip to the dealer is in order.

From what I understand:
When a GM radio is first installed, it 'learns' part of the host car's VIN over the vehicle's data bus. The radio stores this info in its memory, and is then 'locked' to that vehicle. Every time the car is started, the radio checks the VIN segment in memory to the VIN of the host vehicle (using the data bus of the vehicle). If it matches, the radio plays. If it doesn't, the radio shows "LOCKED".
If you transfer the radio to another vehicle, the VIN segment in the radio memory must be reset to the new host vehicle by hooking up the TECHII tool to the vehicle, and running a certain "VIN Relearn" procedure.
