Besides the displacement and better heads, is there much different between the two?
Yes there are some other differences internally but nothing one might call major, depending on what one's perception of major is of course.

Yes, the same headers that work on the LS2 also work on the LS3, even if one were to use TFS heads on either bottom end.
The intake manifold is different between them of course and would have to be changed if swapping from the LS3's rectangle port style heads to the TFS's (or LS2's) cathedral port design.
Both are great motors with the LS3 being, well, better. The LS2 ain't so bad either though.
