They called it a merger, but the new company will be called Sears Holdings and they will be head quartered in Hofmman Estates, IL at the present Sears HQ. It sounds to me like Sears will have more of an upper hand. The Chyrsler/Benz deal was supposed to a merger, but now appears to have been more of takeover by Benz.
It appears to be masterminded by some guy who is a major stock holder in both companies. He's smart to bolster up both companies by merging into one. We certainly don't need another Wal-Mart!!
Called Sears holding, but KMart shareholders get one for one stock, while Sears shareholders get $50 bucks or a 1/2 share of the new company for a whole share of Sears stock. I doubt if much will change operationally, but I'd give good odds that the pension plan ends up costing us taxpayers (like UAL or USAir's plans will) when the US gaurantee agency (remember FDIC?) goes belly up... GRRRR
I heard this on the radio this morning in an NPR interview w/ one of the Kmart board members (he happened to also be the largest kmart shareholder of record)... His statement regarding the merger was that it will increase gross profit margins to a level for both companies that they would not be able to achieve individually......
Net-Net....This will make them the 3rd largest retailor behind Wallmart and Target...
My take is as long as the products I will buy there continue to be quality & for a fair mkt price, I don't care what they do....
Although a merger with Victoria Secret might bring bright colored tools with lacey handles.... My wife might then start to like some of my hobbies.
K-mart just got of Chapter 11 bankruptcy, they ain't buying anyone.
Oh yes, they are! That's the beauty of ch 11. Get rid of your debt... after you emerge, debt free, creditors flock to offer you money. $11 billion, to be exact (that's what K-mart paid for sears).

I couldn't believe it when I heard that Kmart bought Sears on the radio this morning. Better go trade in all of your worn Craftsman stuff before it becomes the same stuff that Kmart sells made in Taiwan. I can't see how this would be good for Sears. There have been so many Kmart closings in my area, I just expect it to drag sears down too. I am probably way off base, but I for one, hardly ever go to Kmart, especially since they tried the Super Kmart thing. The stores were crammed with more stuff and not expanded. Just narrower aisles.
I can see K mart bringing in some of the Sears brands into their stores.
Craftsman tools, Kenmore appliances, Diehard batteries and Lands End clothes.
Will be able to greatly improve the product mix in the hardware, auto,
housewares and clothing with these brands.
They may also try to reintroduce auto installation centers in K mart
stores. At least in my area, all the auto installation centers in K mart
stores have been closed for a number of years.
I kind of like the idea. Can't you see a commercial with Martha Stewart using Sears paint on her cell walls while Bob Villa takes a Craftsman reciprocating saw to the bars.

I used to be a big Husky fan back in the 70's. I bought another set to replace some missing sockets I from a set I've had since I was 10 and the new stuff seems like junk. I've already broken the ratchet and went back to using my 30 year old one.
I've broken plenty of Craftsman stuff over the years, but now it seems better than Husky. Guess the only alternatives are SK, MAC or Snap-on and some of that can get expensive.
I can say I used to like Sears and it realy seemed to be making a comeback. K-mart has allways been getto brand and I can't say they ever had anything I wonted. Then again Walmart hardly has anything I wont either. Hek I've been down on my luck for a coupla years but even I know the corporate game. Buy up a somewhat good company and suck it dry for the upper level managements wallet. Then file bankruptcy as many times as you can get away with, putting the debt on the working man, Its a loosing propasition. Unfortunatly no one seem to care about long term good any more. Greed is the name of the game.
