If the passive is on and you take the key out of the ignition, it will lock the doors after absout 90 seconds or when you are about 25 feet away. When you get within about 25 feet, it unlocks. Be careful not to put your keys on the dash, seat or console, because it will lock you out.
When it's switched to "on" it allows you to walk up tp the car and it will unlock it automatically without having to touch the remote. Same thing when you walk away... it's supposed to lock it too...
CAUTION!!! Many do not work consistantly so you never know if the car is locked or not, etc...
My advice is to turn it off and use the remote as you would on a normal, non-passive equipped car and you'll be sure that it works as you need it to, etc.
I have a '98 and I use mine in this fashion... It's a common problem with the passive lock system. I've read several times that's why they went away from it after '99. (it is '99, correct?)
In my '99 Coupe, I keep the passive slide switch turned off most of the time. I've found over the years that if the car is in the garage and you have the keys with you, walking around in the house, it constantly, lock and unlock numerous times. I didn't care for that. In my new '07, you must be within 3 feet of the doors or rear hatch for the switch to activate, but I don't think it unlocks automatically. Maybe I haven't programmed that function in there yet.
You can buy a fob from a 97 thru 99 with passive or one for a 2000 without the passive feature. Anything after that will not program to your car. From 2001 and up, the fobs are cheaper, but won't work with your car. Expect to pay more for your model. Sometimes a used one can be found for $50 or so, but a new one will be assured to work, while a used one may not. For many reasons, passive is best left off.
The passive fob feature does as mentioned above. However, in the video that came with the car when it was delivered you would have seen some discussion of how it wasn't supposed to lock the keys in the car. For the most part it didn't but not always. If you use the fob passively you can tell whether the car is locked by programming it to honk the horn when it locks. The passive fob is nice if you have a place some distance from the car to store your keys. When I took delivery of my 97 I parked it in the garage and hung the keys on a hook in a coat closet which was about 20 ft from the car. Damned thing kept honking all night until I figured out it was locking and unlocking the car. Then I switched both fobs off and it stopped honking. These were the reasons the feature was dropped. I would get the correct fobs and keep the car as original as possible.

By the way you should try and trace back who has the other key/fob for your car. The Vette antitheft system is second to none. If the correct key isn't used the car is going nowhere unless it is towed or flatbedded. Nothing like somebody else having the ability to steal your car. When you find them see if you can get the owners manual and video.
