Well the car has 23500 miles, I will keep it for a few years.
I like the 3.42 gears, the car will be used on the street around the hood - no track. It's not a daily driver either.
I would do the other stuff first and the gears later. The reason being is that when they pull the diff its only another $100 labor to install a a hi-stall converter since every thing is down under the car. Get the pipes so you can enjoy the sound and save the money for the diff/hi-stall.

Ok, so lets say I do the gear and not the hi-stall convertor - as cost is an issue here. Would I lose that much performance without the hi-stall?

Forget the catback, there is very little bang for the buck there. Do a set of 3.42s and a Vararam and your car will feel like a completely different animal. Also, get it dyno tuned, as there is a lot of stuff you can do for the automatics that will make a HUGE difference in the fun factor, such as raising the shift points, speeding up the time it takes to make the shift, deleting torque management, etc. Plus you can often pick up 10rwhp from tuning as well. You'll need to get some sort of programming done when you do the gears anyhow, in order to correct the speedo, so you might as well do more tuning while you're in there.
