Only my uneducated opinion but the only negative I can see is possibly excessive heat being retained because of the seat being above it. Otherwise, there is nothing there to interfere with the amp.

I daily drove my 01 z for about 1.5 years without issue with the amp underneath the passenger side seat. Amp needs to be relatively small and not very tall .. IE 14-15" long and under 9.5" (IIRC) wide by 2" or less tall otherwise you run into the seat resting on top of the heat sinks or scratching/getting stuck on the amp when the seat moves on its rails.
I fit a 17" x 8" x 1.5" amp underneath my seat, and it sits about 2" out from under the passenger seat but is covered by my Lloyd's front mat.
IMO it is a good spot for amps that are not prone to huge heat. If they get a little warm when you are cranking it up you are gtg.
