I have had that problem in the past and i was told that the AMPS have Thermal shut downs...AKA it gets too hot it shuts down so that NO DAMAGE is done to the AMP.
Good luck....lose the Vinyl cover!
Do you know stock speaker sizes for 99 Convert???

I used to sell audio equipment, so I can say, 
The shut down is preventative. It's good to at least know it works. The heat causes long term damage to the wiring, but that's normal (depending on use). I wouldn't sweat it. I mounted my amp against the rear panel. No ventilation problems. Hope this helps.
