If it were me and I knew I was ultimately going to do them both, I would wait and do them at the same time taking the labor hit just once. If I absolutely positively could not wait, I'd do the converter (mostly because I'm more a of a street/strip guy.)
If it were me and could only do one, I'd do the 3.42. Make sure you have some extra money to reprog. It's too much a change in gear ratio to avoid reprograming.
Both!!! I have the 2.73s and if you see in my mods I bought 3.42s, SY3500 and the TransGo Shift Kit. Do these mods together. Especially that you will already be in there taking things apart. It will be two separate expensive labor charges. Do it all at once...
I just got the 3.42's put in at Vette Doctors here in Long Island. I had the 2.73's also and I had the reprogramming done. As Mike Mercury said, you will need the re-programming for this much of a gear change.
I did not change the TC and I feel a huge difference in the response of the car even though I have not yet had it at WOT (still breaking in the new gears).
So, having the choice of only one or the other I would definitely get the gears. If you already had the 3.15's then I would say get the TC.
one thing the gears give is SOTP feeling no matter what gear nor what speed you are accelerating from. The TC wil give you a great launch; but after that .....?
And with the TC locked, gradual acceleration will have no benefit with a TC upgrade unless it unlocks first.

With the right converter, a 2.73 geared car can be very good on a roll. The converter does not stop working from a roll.
People think that a converter on helps from a stop, but that is not the case.
